This Terms & Usage Policy (“TUP”), along with the Membership Agreement and additional contracts (collectively the “Agreement”), regulates your utilization of the services and establishes the contract between Synq Managed Spaces Pvt. Ltd. and its affiliates (“We”, “Us,” or “Our”) and You (“You” or “Your”). You and We are each a “Party” and together known as the “Parties.” This Agreement takes effect from the date the Agreement is signed.
By executing the Membership Agreement, You consent to adhere to this TUP and all referenced terms. If You disagree with these conditions, refrain from using Our Services. We reserve the right to implement reasonable commercial modifications to this Agreement periodically. We will inform you of significant alterations to this Agreement. Should the modification materially and negatively affect You, and You reject it, You must inform Us within thirty (30) days of receiving the notification. Upon proper notification, You will continue under the previous TUP until the change. Renewed Services will follow the TUP effective at renewal time.

Term. This Agreement becomes active upon signature by both parties (“Monthly Usage Charge Commencement Date”); however, our duty to deliver Services begins only after the later of (i) receipt of your Interest-Free Refundable Security Deposit and initial month’s Membership Fee or (ii) the Monthly Usage Charge Commencement Date. The original Agreement Term plus any Renewal Terms form the “Term”.
Lock-in Period: Specified in your Membership Agreement; if absent, the default Lock-in Period starts on the Monthly Usage Charge Commencement Date and lasts one (1) month thereafter. This Agreement persists until ended per its terms.
Cancellation Before Monthly Usage Charge Commencement Date by You. Termination prior to this date is not permitted. Should You fail to occupy the Work Space post-Membership Agreement signing, You remain responsible for Monthly Usage Charges during the Lock-in Period.
Termination by You. Terminate by providing written notice as per the Membership Agreement period; effective on the later of the Termination Effective Month's last Regular Business Day or Lock-in Period end. No termination allowed during Lock-in; doing so breaches the Agreement. Early termination accelerates remaining Lock-in Membership Fee obligations. Beyond any remedies we pursue, your Interest-Free Refundable Security Deposit forfeits due to the breach.
Termination or Suspension by Us. We may suspend Services or terminate immediately:
Property Removal on Termination. Before Agreement end, remove all property of yours, Members', or guests' from Work Space and Premises. Post-reasonable notice, we may discard remaining items without storage duty; you forfeit claims on such property or our handling. You cover our reasonable removal costs. Post-termination, we won't hold or forward mail/packages.
Interest-Free Refundable Security Deposit (IFRSD). Held as security for all obligations, including Membership Fees; not a fee reserve. Pay other dues separately, not from IFRSD. We'll refund IFRSD or balance post-deductions for dues (including unsatisfied Membership Fees) via bank transfer or notified method within thirty (30) days (or sooner if legally required) after later of (i) Agreement end and Work Space vacation and (ii) your provision of payment details. Refund depends on full obligation fulfillment, like registered office transfer evidence, Membership Fee satisfaction, and post-end duties.
Work Space Handover Delay. For delays in returning Work Space post-Agreement end, pay double applicable Membership Fee per unauthorized day. You agree this is a fair pre-estimate of our losses, not a penalty.
To access full features, installing software on Members’ devices may be needed. Members might seek troubleshooting aid from us, affiliates, agents, or providers for issues like printing or network access. You agree we and affiliates:
We offer shared wired/wireless internet. For private networks, you may install approved firewalls; responsible for removal. Coordinate with our IT for setup/removal timing, method, and extra fees. We deduct unpaid costs from IFRSD. You cover monthly private network fees.
Premises/facilities prohibited for:
No unauthorized access to Services, accounts, systems, or others' resources via hacking/password mining.
Non-educational video/audio streaming disabled (e.g., Netflix, Prime).
Antivirus recommended on computers to avoid outbreaks.
You handle IT asset safety/maintenance; staff aids with CCTV footage for incidents (up to available days).
Agreement Nature. Work Space stays our property/possession/control. We grant shared use for Services. No landlord-tenant/lessor-lessee relation; no title/easement/lien/possession/real property rights granted.
Parties' Relationship. Independent contractors; no fiduciary/agency/partnership/joint venture. No misrepresentation of relation.
Subordination. Subordinate to our Premises lease/license and related docs/agreements.
Notices. Via email or Membership Agreement addresses; effective first business day post-receipt.
Headings/Interpretation. For convenience; “including,” “for example,” “such as” mean “without limitation”.
No Assignment. No transfer/assignment (including by law) without consent, except merger/acquisition/reorganization/sale of shares/assets. We may assign without consent.
Law Compliance. You warrant ethical operations per applicable laws.
Entire Agreement. Full agreement; changes via signed writing or permitted means. Prior understandings merged.
No Exclusivity. No exclusivity; we may serve similar businesses.
Non-exclusive Premises access. Regular Work Space maintenance like similar spaces; no liability beyond normal wear/tear. Standard furnishings for comparable spaces. Shared internet access. Use of printers/copiers/scanners. Conference rooms/Value Added Services per payment/availability/reservation. Air-conditioning. Reasonable office electricity. Mail/deliveries acceptance during hours (no liability without signature; collect next day, storage fees post-48 hours). Monthly credits for rooms/copies/printouts/other (no rollover; overages charged).
Noise/Communication: Mindful/precise with coworkers; avoid passages for calls/meetings to prevent disruption. Silence: Productive thinking space; use meeting rooms/phone booths for talks. Tidy Desk: Keep workspace clean/neat; no damages/vandalism. Harassment: No intimidation/harassment/discrimination in space/online/events. Collaborate: Use events for networking; no multi-level-marketing; contact manager for promotions. Belongings Care: Secure valuables; we're not responsible. Working Space Allotment: Stick to assigned; eat in lunch areas. Co-working Timings: Follow operating hours; extra charged if available. Access Card: Non-transferable; return at end; reissue fee + taxes; carry always, no tailgating. Registered/Corporate Address: Not for general use; separate product needed. Parking: Secure belongings/proper parking; no liability for damage/loss. Smoking/Alcohol: After hours/parties outside Premises.
You acknowledge/agree: Access items our property; safeguard, liable for replacements. Update contact/payment info promptly. Read our emails on changes; ensure Members aware. Members ≥18. Freight in passenger elevators at discretion. No underage alcohol. Common spaces temporary/shared. Notice/paperwork for events. Liable for excess Work Space damage. No alterations/installations; you pay removal/restoration; we deduct unpaid from IFRSD. Devices updated/clean of threats; we may remove threats. May record areas via video for security. Disclose info for law/safety. Consent to non-exclusive logo use in displays/marketing; warrant authority; terminable on 30 days’ notice. Abide by/additional rules; non-discriminatory changes with notice.
No Member Will: Disrupt/danger to us/others/property. Illegal/offensive activities. Use others' IP without consent; no Premises photos/illustrations without consent. Retail/medical/frequent public visits. Sell/manufacture/distribute controlled substances/alcohol without license. Fraudulent/unlawful mail use. Copy/lend/transfer access items. Install locks. Weapons/offensive/dangerous/inflammable/explosive materials.
Ensure Members comply.
Membership Fee: Monthly advance on 7th; absolute during Lock-in/Term. Pay: (i) your taxes to authorities (evidence on request); (ii) Membership-attributable taxes invoiced. Covers allocated seats; extras charged.
Annual escalation on anniversary (including Lock-in) per Membership Agreement. Post-Lock-in, we may adjust with 30 days’ notice.
Invoices: To Primary Member or designated Billing Contact; change via Authorized Signatory notice.
Payment: Via communicated methods.
Outstanding: Charged arrears monthly; apply funds to oldest first. Post-notice, may withhold/terminate.
No Refunds: Except post-Lock-in/our Termination/Suspension; no refunds for paid amounts.
Cross Default: Default elsewhere recoverable here; withhold/deduct from IFRSD.
Authorized Signatory solely changes/terminates; Primary Member primary contact. We rely on their communications.
If delayed/unavailable >1 month due Force Majeure/other affecting rights, no liability; we may: (i) offer comparable alternate (possibly elsewhere), charge Fee; (ii) waive Fee during unavailability (pre-move-in delay). Post-1 month, if rejecting alternate, terminate without liability/Fee for unexpired Term. No benefits if delay your fault/requested changes.
Members per List; access from later of Commencement/confirmation. Maintain accuracy; add extras via Primary Member email with details/effective date.
Access Work Space anytime for Services/safety/emergency/other. Alter Work Space without substantial footage/amenity reduction. Modify Services/furnishings. Provided by us/affiliate/third party.
No harassing/discriminatory/abusive behavior to staff/others. Material breach; immediate termination/suspension.
Suspend/terminate if facility/address linked to fraud/law violations.
